Silgan, private equity acquiring Trivium to create $7.3B packaging giant

  • Connecticut-based Silgan Holdings announced plans Monday to partner with private equity firm American Industrial Partners on an acquisition of European metal packaging specialist Trivium Packaging.
  • The deal would combine Silgan’s metal containers segment as well as its food and beverage flat-cap closures businesses with Trivium to create Silgan Metal Containers and Closures, or Silgan MCC.
  • Silgan Holdings would gain roughly $2.3 billion in cash proceeds and have 60% ownership in Silgan MCC, which would acquire the global Trivium business. AIP, which is contributing $1 billion, would have 40% ownership in Silgan MCC. Silgan executives said there is a future path to establish Silgan MCC as an independent public company
